Business Formation and Transfer.We counsel our clients regarding the selection, formation, reorganization and dissolution of business entities including corporations, partnerships, limited partnerships, limited liability partnerships (LLPs), and limited liability companies (LLCs). We also provide services in connection with the review, preparation and negotiation of merger and acquisition agreements and business purchase and sales agreements (both stock sales and asset sales) and other business agreements.
Corporate Law.We provide business planning, transactional and counseling services in a broad range of corporate matters. Our work includes the preparation, review and negotiation of contracts for customers, vendors, suppliers, professional services, Internet services, software, manufacturing, employment, consulting, publishing, operating, licensing, marketing, distribution, trade secret protection and other areas. We also work closely with our clients on business formation and dissolution matters, including shareholder, partnership, LLC and other agreements. We spend a great deal of time with our clients counseling them on daily operational issues to increase efficiency, minimize costs and avoid litigation risks. We also handle shareholder and partnership disputes when they arise.
Employment Law.We represent many large and small companies in the counseling, negotiation, review and preparation of employment contracts and non-competition agreements involving business enterprises, professional practices and other organizations. We serve as regular advisors to our clients on matters pertaining to employment hiring and termination practices, discrimination matters, confidentiality and non-competition agreements, COBRA, employee benefits, OSHA compliance, and other issues. We also prepare employee policy manuals, disciplinary and benefit forms, and other documents necessary for our clients' human resource issues. Employment Law.
Commercial Litigation.We have a diverse commercial litigation practice, enabling us to provide a depth of experience in a variety of complex business and commercial disputes. We regularly appear in state and federal courts and administrative agencies, handling all aspects of trial work, appeals, arbitration and mediation. Representative matters include business and contract disputes, employment matters (including enforcement of non-compete agreements), real property disputes, debtor/creditor disputes, shareholder and partnership matters, insurance and workers' compensation matters. Other cases we have successfully handled for our clients have arisen from professional liability, disciplinary proceedings, foreclosures and repossessions, as well as fraudulent conveyances, preference and lender liability litigation.
Banking, Foreclosures, and Work-Outs.We represent numerous banks, mortgage companies and other lending institutions in both residential and commercial loan transactions throughout Massachusetts. Our work includes performing real estate closings, handling business financing transactions, debt consolidation and performing foreclosure proceedings.
E-commerce and Technology.We are actively involved in the representation and counseling of technology, software and Internet-based companies involved in creating, building and operating media and web-based businesses. This includes the counseling, negotiation, review and preparation of Web development, hosting, licensing, software and other agreements with special emphasis on deliverables, scope of work and ownership issues. We also provide general counseling, negotiation, preparation and review of the evolving range of technology agreements, including advertising, consulting, employment, non-disclosure, non-solicitation, non-compete, trade secret, licensing, management, investment, funding and venture capital, strategic alliances, joint ventures and special partnering agreements.
Professionals and Related Associations.We have extensive experience in representing clients in matters before various professional licensing agencies, including the Board of Bar Overseers, Boards of Registration in Medicine, Chiropractic and other agencies in the Massachusetts Division of Registration. We have provided counsel and representation to members of the legal, medical, chiropractic, dental, audiology, building and other licensed professions in various matters relating to their practices and careers, including the formation, restructuring and dissolution of practices, practice management issues, and representation in disciplinary and licensing matters.
